Terms of Service — Babylon Budget

1. Introduction and Acceptance

These Terms of Service (“Terms”) constitute a legally binding agreement between you and HGWEBSITES LLC, a Missouri limited liability company doing business as Babylon Budget (“Company,” “we,” “us”), regarding your use of the Babylon Budget application and website at babylonbudget.app(“Service”).

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Account Requirements

You must be at least 18 years old to use Babylon Budget.
You must provide accurate, current information during sign-up.
You are responsible for maintaining the security of your account credentials.
You are responsible for all activity under your account.
One account per person. Sharing accounts is prohibited.

3. Description of the Service

Babylon Budget is a personal finance tracking and educational tool. It allows you to:

Log income and expenses manually
Upload bank statements for AI-powered parsing
Track savings goals and debt payoff progress
Ask questions to Arkad, our AI Financial Coach
View budget vs actual reports and dashboards

Babylon Budget is NOT a financial advisor, is not registered as an investment advisor, does not provide personalized financial advice, and does not manage your money. See Section 9 for the full financial advice disclaimer.

4. Subscription Plans and Billing

4.1 Free Tier

Free Tier users receive:

Full budget, transaction, savings, and debt tracking
3 AI Coach messages per day
1 AI statement upload per month
1 AI batch categorization per month

4.2 Pro Tier

Pro Tier subscribers receive:

Everything in Free Tier
Unlimited AI Coach messages
Unlimited statement uploads and batch categorization
Priority AI processing
Access to future Pro-only features as released

Pro Tier pricing:

Monthly: $9.00 USD per month
Annual: $89.00 USD per year (~18% savings)

4.3 Automatic Renewal

Pro Tier subscriptions automatically renew at the end of each billing period at the then-current price. You can cancel anytime through your Billing settings. Cancellation takes effect at the end of your current billing period; you retain Pro access until then.

4.4 Payment Processing

All payments are processed by Stripe. By subscribing, you authorize us (via Stripe) to charge your payment method for the applicable subscription fee.

4.5 Failed Payments and Grace Period

If a scheduled payment fails, you'll receive an email notification. You have a 3-day grace period to update your payment method before your account is automatically downgraded to Free Tier. Your data remains intact; you simply lose access to unlimited AI features until payment resumes.

4.6 Refunds

Subscription fees are non-refundable. You may cancel at any time to prevent future charges, but partial refunds are not provided for unused portions of a billing period.

4.7 Price Changes

We may adjust prices with at least 30 days notice via email. Continued subscription after a price change constitutes acceptance.

5. Acceptable Use

You agree NOT to:

Use the Service for illegal purposes
Attempt to reverse engineer, decompile, or hack the Service
Access accounts or data not belonging to you
Upload malicious files or content
Automate account creation
Resell or redistribute Babylon Budget services
Use the Service to launder money or evade taxes
Upload data that isn't yours or that you don't have permission to share

Violations may result in account termination without refund.

6. Your Content and Data

6.1 Ownership

You retain ownership of all Content you submit to Babylon Budget.

6.2 License to Us

By using the Service, you grant us a limited, non-exclusive license to use, store, process, and analyze your Content solely for the purpose of providing the Service to you. This license terminates when your account is deleted.

6.3 Data Deletion

Upon account deletion, we permanently delete all your Content within 30 days.

7. AI-Generated Content Disclaimer

Important: Arkad, our AI Babylonian Coach, generates responses based on your input, our system prompts, and machine learning models operated by Anthropic. AI-generated responses may:

Contain errors or inaccuracies
Reflect biases in training data
Miss important context specific to your situation
Not account for the latest laws, market conditions, or personal circumstances

AI responses are NOT financial, legal, tax, or investment advice. They are educational responses based on general principles from The Richest Man in Babylon by George S. Clason and your entered data. You should not rely solely on AI responses for material financial decisions.

8. Financial Advice Disclaimer

Babylon Budget is a financial tracking and educational tool, not a financial advisor. We do not:

Provide personalized financial planning
Recommend specific investments
Manage your money
Guarantee any financial outcomes
Register with the SEC, FINRA, or any state securities regulator

You should consult a licensed financial planner, tax professional, accountant, or attorney for material financial, tax, or legal decisions. Information provided in Babylon Budget is based on general principles and your entered data — it is not tailored professional advice.

9. Intellectual Property

The Babylon Budget software, design, brand, “Arkad” AI persona, and content (excluding your data) are owned by HGWEBSITES LLC and are protected by copyright, trademark, and other intellectual property laws.

You may not:

Copy, modify, or distribute our software or content
Use our brand or logos without written permission
Extract data via automated means (scraping, etc.)

The Richest Man in Babylon by George S. Clason (1926) entered US public domain on January 1, 2022. References to its concepts and principles are educational.

10. Third-Party Services

Babylon Budget relies on third-party services (Clerk, Stripe, Supabase, Anthropic, Render). Our Service's availability depends on those providers. We are not responsible for third-party outages, but we do our best to maintain uptime.

11. Termination

You may cancel your account at any time via Billing settings or by contacting us.

We may suspend or terminate your account if:

You violate these Terms
You fail to pay subscription fees after the grace period
You engage in fraudulent or abusive behavior
We're required by law

12. Disclaimers of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or 100% secure.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HGWEBSITES LLC AND ITS OFFICERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

Some jurisdictions do not allow certain limitations, so these may not fully apply to you.

14. Indemnification

You agree to indemnify and hold harmless HGWEBSITES LLC, its officers, employees, and agents from any claims, damages, or expenses (including legal fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Content you submit

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Missouri, USA, without regard to conflict-of-law provisions.

15.1 Informal Resolution

Before filing any formal claim, we agree to attempt informal resolution by contacting each other first at henrygoodin9@gmail.com.

15.2 Binding Arbitration

If informal resolution fails, any dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in St. Louis County, Missouri. Judgment on the award may be entered in any court of competent jurisdiction.

15.3 Class Action Waiver

YOU AGREE TO WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION.

15.4 Exceptions

This arbitration provision does not apply to intellectual property disputes or small claims court matters.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we'll update the “Last updated” date and notify active users via email for material changes. Continued use after changes indicates acceptance.

17. Miscellaneous

Severability: If any provision of these Terms is held invalid, the rest remains in effect.
Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and us.
No Waiver: Our failure to enforce a right does not waive that right.
Assignment: You may not assign these Terms. We may assign our rights and obligations to a successor entity.
